PROFIT ALERT

FOR THE SIX MONTHS ENDED 30 JUNE 2020

This announcement is made by Central Wealth Group Holdings Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 13.09(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined in the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

After preliminary review by the Company's management based on the information currently available and the unaudited management accounts of the Group, the board (the "Board") of directors (the "Directors") of the Company wishes to inform the shareholders of the Company (the "Shareholders") and potential investors that the Group will record a significant decrease in profit before taxation by approximately 60% to 65% for the six months ended 30 June 2020 as compared to the six months ended 30 June 2019.

The expected decrease in profit before taxation is mainly attributable to the decrease in revenue from the provision of debt capital market service. The outbreak of the COVID-19 in early 2020 and the resulting anti-epidemic measures and lockdown have slowed down the progress of various projects of the Company in the People's Republic of China.

The Board wishes to state that this announcement is made based on a preliminary assessment on the unaudited management accounts of the Group for the six months ended 30 June 2020 and information currently available to it, which have not been audited or reviewed by the Company's auditors and may be subject to adjustments. Details of the financial information and performance of the Group for the six months ended 30 June 2020 will be disclosed in the interim results announcement of the Company which is expected to be published in late August 2020.
