Centre Testing International Group Co., Ltd. (SZSE:300012) and Zeng Xiaohu entered into an agreement to acquire 61% stake in Zhejiang Yuanjian Testing Co., Ltd. from Wang Junyan, Liu Hanyan, and Zhang Jia for CNY 4.2 million on April 24, 2019. Under the transaction, Centre Testing International Group Co., Ltd. will acquire 51% stake for CNY 3.51 million while Zeng Xiaohu will acquire 10% stake in Zhejiang Yuanjian Testing Co., Ltd. for CNY 0.69 million. Post completion, Wang Junyan, Liu Hanyan, and Zhang Jia will hold 13.65%, 12.87% abd 12.48% stake in Zhejiang Yuanjian Testing Co., Ltd. respectively. For the period ended December 31, 2018, Zhejiang Yuanjian Testing Co., Ltd. has reported total assets of CNY 0.28 million, total liabilities of CNY 0.64 million, negative net assets of CNY 0.36 million, revenue of CNY 1.05 million, operating profit of CNY 0.03 million and net profit of CNY 0.03 million. The Board of Directors of Centre Testing International Group Co., Ltd. has approved the transaction. The transaction is subject to approval from shareholders of Centre Testing International Group Co., Ltd.
