Century Pacific Food, Inc. ("CNPF") submits the Amended Related Party Transactions Committee Charter incorporating the following changes:
1. Added non-material related party transaction threshold
2. Added approval of material related party transactions by 2/3 of the Board, with majority of the independent directors voting to approve
3. Added a provision for committee assistance to the Board in ensuring independent evaluation of material related party transactions
4. Added a provision on Shareholder Redress
5. Added a provision on Ex Post Enforcement and Restitution of Losses
