5.Cause of occurrence:
(1)In compliance with Permit No.1110347285 as issued by the Financial
Supervisory Commission on 2022/06/21.
(2)Before the Group acquired the shares, Kai Yang and Yao Kuang Co. were
joint guarantors for each other with Far Eastern International Bank.
The Company's subsidiary Chung Ho Energy Integration Co., Ltd.
acquired 80% shares of Kai Yang and Yao Kuang Co. and became
the indirect subsidiaries of the Group on 2022/05/18. Due to the
changes of condition,the aforementioned guarantees were made no longer
meet the requirements of the Regulations Governing Loaning of Funds and
Making of Endorsements/Guarantees by Public Companies.
6.Countermeasures:
1.Far Eastern International Bank agree to change the guarantor to
ChaileaseFinance Co., Ltd.which are the parent Company of Kai Yang
and Yao Kuang Co.
2.The Board of Directors for Kai Yang and Yao Kuang Co.resolved the
Operational Procedures for Endorsements/Guarantees(the Procedures)
on 2022/06/15.The Procedures will be submitted to their's shareholder's
meeting on 2022/07/05.
7.Any other matters that need to be specified:None.
