The common stock will be privately placed to the Company's single
shareholder "Chailease International Company (UK)Ltd.".
4.Number of shares or bonds privately placed:Not exceeding 300 million shares.
5.Amount limit of the private placement:Up to NTD 6,000 million
6.Pricing basis of private placement and its reasonableness:
The private placement price is reference to the reasonable Price-Book Ratio
and the operating performance, future outlook of Chailease Finance Co.,Ltd.
The private placement price will be no less than 80% of the net worth per
share shown on the financial report audited and certified by a CPA for the
period closest to the pricing date.
The actual price will be determined by the board of directors pursuant to
the shareholders' resolution.
7.Use of the funds raised in this private placement:
To strengthen capitals and financial structure and to fulfill business
development.
8.Reason for conducting non-public offering:
To avoid the decentralization of stock and in consideration of the present
capital market situation,time efficiency and practicability of fund raising,
Chailease Finance Co.,Ltd.decides to raise fund through private placement.

All the rights and obligations of the privately placed common stock are the
same as the issued common stock of the Company.Except for the transferee
stipulated under Article 43-8 of the ROC Securities and Exchange Act,
the privately placed common stock shall not be resold to anyone else within
three years after their delivery.
