On August 31, 2020, Cheniere Energy, Inc. ("Cheniere") issued a press release providing an operational update on the Sabine Pass liquefaction facility. The press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein in its entirety.

Item 8.01. Other Events.



On August 26, 2020, Sabine Pass Liquefaction, LLC, an indirect wholly owned
subsidiary of Cheniere Energy Partners, L.P., entered into an arrangement with
subsidiaries of Cheniere to provide the ability in limited circumstances to
potentially fulfill commitments to LNG buyers in the event operational
conditions impact the ability to produce or make available LNG cargoes scheduled
to be delivered to customers at either the Sabine Pass or Corpus Christi
liquefaction facility (the "Affected Facility") and the other liquefaction
facility has cargoes available. The purchase price paid on behalf of the
Affected Facility for LNG in these events would be (i) 115% of the applicable
feedgas purchase price or (ii) a free-on-board U.S. Gulf Coast LNG market price,
whichever is greater.
