Announcement on Resolutions of the 1st Extraordinary Meeting

of the 8th Session BOS

The 1st Extraordinary Meeting of the 8th session of the BOS of the Company was held in Beijing on 26 November 2021. The meeting notice was sent out by email on 25 November 2021. The meeting was convened and presided over by Zhang Juntong, Chairman of the BOS. Of all 9 Supervisors who were entitled to attend the meeting, 3 Supervisors, being Chairman Zhang Juntong, Supervisors Yang Yu and Gong Zhijian, attended the meeting in person, 6 Supervisors, being Lu Zhongnan, Zhao Linghuan, Li Yu, Wang Yugui, Zhao Fugao, and Zhang Liqing, attended the meeting by tele/video conference. The convention and procedures of the meeting complied with the rules and regulations under the Company Law of the PRC and the Articles of Association of the Bank. The resolutions made through voting are legal and effective.

The following resolutions were discussed and passed at the meeting:

I. Resolution on By-Electing the Vice Chairman of the 8th Session BOS

Mr. Yang Yu was by-elected as the Vice Chairman of the 8th session BOS of the Bank.

Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

1. Resolution on Adjusting the Members of the Supervisory Committee of the 8th Session BOS
   Mr. Yang Yu and Mr. Gong Zhijian were added as the members of the Supervisory Committee of the 8th Session BOS of the Bank.

The composition of the Supervisory Committee after the addition of members is as follows:

Supervisory Committee (7 persons) Chairman: Zhang Juntong

Members: Yang Yu, Lu Zhongnan, Li Yu, Wang Yugui, Zhao Fugao, Gong Zhijian

Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.
