Announcement on Resolutions of the 1st Meeting of the 8th Session BOS

The 1st meeting of the 8th session of the Board of Supervisors of the Company was held on 16 October 2020. The meeting was convened and presided over by Supervisor Zhang Juntong. Of all 9 Supervisors who were entitled to attend the meeting, 8 attended the meeting in person, 1 Supervisor, being Zhao Linghuan, attended the meeting by teleconference. The convention and procedures of the meeting complied with the rules and regulations under the Company Law of the PRC and the Articles of Association of the Company, and the resolutions made through voting are legal and effective.

The following resolutions were discussed and passed at the meeting:

I. Resolution on Electing the Chairman and Vice Chairman of the 8th Session BOS of the Company

The Proposal on Electing Chairman and Vice Chairman of the 8th Session of the BOS of the Company was discussed and passed at the meeting. Mr. Zhang Juntong was elected as Chairman of the 8th session of the BOS of the Company. Mr. Guo Dong was elected as Vice Chairman of the 8th session of the BOS of the Company.

Voting results: Chairman of the BOS:

Zhang Juntong: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

Vice Chairman of the BOS:

Guo Dong: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.

1. Resolution on Members of Special Committees of the 8th Session BOS of the Company
   The Proposal on Members of Special Committees of the 8th Session of the BOS of the Company was discussed and passed at the meeting. Two Special Committees of the 8th Session of the BOS of the Company were established, namely: the Nomination and Examination Committee and the Supervisory Committee. The Chairmen and members of the two Special Committees are as follows.

Nomination and Examination Committee (7 persons)

Members: Zhang Juntong, Lu Zhongnan, Zhao Linghuan, Li Yu, Zhao Fugao, Zhang Liqing

Supervisory Committee (7 persons)

Chairman: Zhang Juntong

Members: Guo Dong, Lu Zhongnan, Li Yu, Wang Yugui, Zhao Fugao, Li Jian

Voting result: Affirmative: 9 votes; Negative: 0 vote; Abstention: 0 vote.
