VOLUNTARY ANNOUNCEMENT

REORGANISATION AT CONTROLLING SHAREHOLDER LEVEL

China Tobacco International (HK) Company Limited (the "Company") hereby announces that it has been informed by China Tobacco International Group Limited (中煙國際集團有限公

司) ("CTIG"), the direct controlling shareholder of the Company, that on September 2, 2020, China Tobacco International Inc. (中國煙草國際有限公司) ("CTI"), the sole shareholder of CTIG and a wholly-owned subsidiary of China National Tobacco Corporation (中國煙草總公司) ("CNTC"), transferred the entire issued share capital of CTIG held by it to CNTC (the "Transfer"). Immediately after the Transfer, CTIG became a direct wholly-owned subsidiary of CNTC.

Immediately before the Transfer, CNTC (indirectly through CTI and CTIG) held 500,010,000 shares of the Company (the "Relevant Shares"), representing approximately 72.29% of the total issued share capital of the Company as at the date of this announcement. Immediately after the Transfer, CNTC (indirectly through CTIG) continued to hold the Relevant Shares.

As at the date of this announcement, the board of directors of the Company comprises Mr. Shao Yan, as chairman and non-executive director, Ms. Yang Xuemei, Ms. Li Yan, Mr. Liang Deqing and Mr. Wang Chengrui as executive directors, and Mr. Chow Siu Lui, Mr. Wang Xinhua, Mr. Chau Kwok Keung and Mr. Qian Yi as independent non-executive directors.
