RESIGNATION AND NOMINATION OF EXTERNAL SUPERVISORS

The board of supervisors (the "Board of Supervisors") of Chongqing Rural Commercial
Bank Co., Ltd. -mmJlHrJ�fil-!it5tr�0� * (the "Bank") received the resignations
from Ms. Dong Yunling ("Ms. Dong"), Mr. Chen Huiming ("Mr. Chen"), Mr. Zhang Xinyu ("Mr. Zhang") and Mr. Shi Bentong ("Mr. Shi"), the external supervisors of the Bank. Ms. Dong, Mr. Chen, Mr. Zhang and Mr. Shi resigned as external supervisors of the Bank due to personal work arrangement, respectively. After their resignations, Ms. Dong will cease to serve as the chairwoman of the internal control review committee under the Board of Supervisors, Mr. Chen will cease to serve as the chairman of the audit committee under the Board of Supervisors, Mr. Zhang will cease to serve as the chairman of the due diligence supervisory committee under the Board of Supervisors, and Mr. Shi will cease to serve as the chairman of the nomination committee under the Board of Supervisors. Their resignations will be effective from the date of passing the resolutions at the general meeting of the Bank to elect new external supervisors in accordance with the minimum number of external supervisors as required under the Bank's Articles of Associations.
As at the date of this announcement, Ms. Dong, Mr. Chen, Mr. Zhang and Mr. Shi had respectively confirmed that they had no disagreement with the Board of Supervisors, neither did they have any matters that needs to be brought to the attention of The Stock Exchange of Hong Kong Limited and shareholders of the Bank in relation to their resignations. The Board of Supervisors is grateful to Ms. Dong, Mr. Chen, Mr. Zhang and Mr. Shi for their contributions to the Bank during their tenure.

On 15 August 2014, the Bank held the meeting of the board of supervisors, in which Mr. Wang Hong ("Mr. Wang"), Mr. Hu Shuchun ("Mr. Hu") and Mr. Pan Like ("Mr. Pan") were nominated as the candidates for external supervisors of the Bank. Details of their biographies are as follows:

Mr. Wang Hong (aged 48)

Mr. Wang Hong, is currently a professor and PhD tutor of the Civil and Commercial Law School, Southwest University of Political Science & Law. Mr. Wang is also an arbitrator of the China International Economic and Trade Arbitration Commission and the Arbitration Commissions of Chongqing, Chengdu, Nanning and Hohhot. He serves as a professor and PhD tutor of the Civil and Commercial Law School, Southwest University of Political Science & Law since September 2009. He serves as an independent director of Guizhou Bailing Group Pharmaceutical Co., Ltd. since December 2013. From September 2005 to September 2009, he served as a professor and master tutor of the Civil and Commercial Law School, Southwest University of Political Science & Law. From September 2000 to September 2005, Mr. Wang served as an associate professor and master tutor of the Civil and Commercial Law School, Southwest University of Political Science & Law. From April
1991 to September 2000, he served as a teacher of the Division of Civil Law, Department of Law, Southwest University of Political Science & Law. Mr. Wang obtained a bachelor's degree in law at the Southwest University of Political Science & Law in July 1988 and obtained a master's degree in law at the Southwest University of Political Science & Law in April 1991, and then he obtained a PhD degree majoring in civil and commercial law, Southwest University of Political Science & Law in June 2005.
Mr. Wang will receive subsidy during his tenure with reference to the Remuneration Plan of Directors and Supervisors of Chongqing Rural Commercial Bank Co., Ltd. The Bank will disclose supervisors' remuneration in its annual report each year.

Mr. Hu Shuchun (aged 45)

Mr. Hu Shuchun is currently the director of Chongqing Da Neng Law Firm and an arbitrator of the Chongqing Arbitration Commission. Mr. Hu serves as a director of Chongqing Dan Neng Law Firm since March 2013. From July 2003 to March 2013, he served as an attorney and partner of Chongqing Zhi Yuan Law Firm. From December
2002 to July 2003, he served as an attorney of Chongqing Jing Bo Law Firm. He served as an attorney of Chongqing Jing Sheng Law Firm from October 2001 to December 2002. Mr. Hu also served as a procurator of the People's Procuratorate of Chongqing from July
1998 to October 2001. He served as a law teacher at the Party School of the CPC Hegang Municipal Committee from July 1992 to September 1995. Mr. Hu obtained a bachelor's degree in law at the Southwest University of Political Science & Law majoring in economic law in July 1992 and obtained a master's degree in economic law at the Southwest University of Political Science & Law in July 1998.
Mr. Hu will receive subsidy during his tenure with reference to the Remuneration Plan of Directors and Supervisors of Chongqing Rural Commercial Bank Co., Ltd. The Bank will disclose supervisors' remuneration in its annual report each year.

Mr. Pan Like (aged 41)

Mr. Pan Like is currently a partner of Pan-China Certified Public Accountants Co., Ltd. He serves as a salaried partner and partner of Pan-China Certified Public Accountants Co., Ltd. since January 2012. He served as a salaried partner of Pan-China (Zhengxin) Certified Public Accountants Co., Ltd. from December 2009 to January 2012. He served as a salaried partner of Pan-China (Guanghua) Certified Public Accountants Co., Ltd. from December
2008 to December 2009. Mr. Pan served as a department manager and director of office and senior manager of Pan-China (Chongqing) Certified Public Accountants Co., Ltd. from August 2000 to December 2008. He served as a project manager and director of the Office of Director of Chongqing Huayuan Certified Public Accountants Co., Ltd. from December
1998 to August 2000. He once served as an assistant of audit services department of Chongqing Certified Public Accountants Co., Ltd. from July 1995 to December 1998. Mr. Pan obtained a bachelor's degree in economics in Chongqing Technology and Business University (formerly known as Chongqing Business College) in June 1995 and enrolled in graduate courses at Shanghai University of Finance and Economics majoring in accounting
as a part-time student from September 1999 to July 2001.

Mr. Pan will receive subsidy during his tenure with reference to the Remuneration Plan of Directors and Supervisors of Chongqing Rural Commercial Bank Co., Ltd. The Bank will disclose supervisors' remuneration in its annual report each year.
Except as disclosed in this announcement, Mr. Wang, Mr. Hu and Mr. Pan have not served as supervisors in any other listed public companies or held any other position in the group members of the Bank during the last three years. Mr. Wang, Mr. Hu and Mr. Pan do not have any relationship with any directors, supervisors, senior management, substantial shareholders or controlling shareholders of the Bank. Furthermore, Mr. Wang, Mr. Hu and Mr. Pan have no interest in the shares of the Bank within the meaning of Part XV of the Securities and Futures Ordinance. Save as disclosed above, there are no other matters relating to the appointments of Mr. Wang, Mr. Hu and Mr. Pan, which need to be brought to the attention of the shareholders of the Bank, and there is no other information required to be disclosed pursuant to the requirements of Rule 13.51(2) of the Rules Governing the Listing of Securities of the Stock Exchange of Hong Kong Limited.
This resolution will be submitted to the general meeting of the Bank for consideration and approval. The Bank will publish relevant announcement once the vacancy of external supervisors is filled. Details of the each resolution will be set out in the circular of the general meeting to be dispatched to the shareholders of the Bank.
