Cia Hering : Material Fact - Payment of Dividends

Cia. Hering ("Company", B3: HGTX3) communicates, in pursuant to CVM instructions 358/02 and 567/15 and Law no. 6.404/76, as amended, that its Board of Directors, in meeting held on 08/30/2017, has unanimously resolved the payment of dividends, in the amount of R$ 49,993,498.54 (forty-nine million, nine hundred and ninety-three thousand, four hundred and ninety-eight reais and fifty-four cents), equivalent to R$ 0.3089 per share.

The payment will be made on 10/25/2017, using as basis of calculation the shareholder's position of 09/06/2017. Company's shares will be traded as ex-dividends, as of 09/08/2017.

Shareholders shall have access to their credits according to the bank address provided to Banco Itaú S.A. - Depositary Institution of Company's Shares, as of the commencement of the distribution of this right. For shareholders whose entries do not include the Corporate and Individuals Taxpayers ID (CNPJ/CPF) or the indication of the "Bank/ Branch/ Current Account", the dividends shall only be credited after the 3rd business day, from the date of the registration update in the electronic files of Banco Itaú S.A., which may be made through any branch of Banco Itaú S.A. The shareholders using the fiduciary custody shall have the dividends credited according to the procedures adopted by the Stock Exchange.
