NOTICE TO SHAREHOLDERS

PAYMENT OF INTEREST ON EQUITY

We hereby inform our shareholders that, at the meeting held on March 27, 2019, the Board of Directors of Cia. Hering (the "Company") approved, "ad referendum" of the General Shareholders' Meeting that approves the accounts for the year ending December 31, 2019, the payment of interest on equity based on the income to be ascertained in the current year, in the amount of twenty-two million, nine hundred ninety-three thousand, eight hundred seventy-sevenReais, and seventy-seven cents) R$22,993,877.77, or R$0.1423 per share. Withholding income tax will apply, as provided for in the legislation in force, except for exempted shareholders. The amount paid as interest on equity will be imputed to the mandatory dividends for the year 2019. Interest on equity will be paid to shareholders on April 24, 2019, based on the calculation of the shareholding position as of April 4, 2019, except for treasury shares. The Company's shares will be traded "ex-interest on equity" as from April 5, 2019.

Interest on equity will be paid by the Depositary of the shares issued by the Company - Banco Itaú S.A. - by automatic credit to those shareholders who have already informed their CPF/CNPJ [Individual/Corporate Tax ID] and bank account number to Banco Itaú. With regard to shareholders who have not provided this information, Banco Itaú will send the respective payment notice, which must be presented at one of its branches, together with the information regarding the subject, so that the credit can be processed, as from the 3rd business day after the update of their registration data. Interest on equity for shares deposited with B3 will be paid to shareholders through their respective custody agents.
