Sale of Cielo's Stake in Orizon to Bradseg Participações S.A.

CIELO S.A. ("Company") (B3: CIEL3 / OTC Nasdaq International: CIOXY), in compliance with the provisions of CVM Instruction No. 358/02, as amended, hereby informs to its shareholders and other stakeholders that on this date has engaged into a contract for the sale of all of its shares in Companhia Brasileira de Gestão de Serviços ("Orizon"), which represent 40.95% of the share capital of Orizon, to Bradseg Participações S.A. for the amount of BRL 128,992.500.00 (one hundred and twenty-eight million, nine hundred and ninety-two thousand and five hundred reais) ("Transaction").

The completion of the Transaction is part of the Company's strategy by allowing it to focus more on its core operations.

The closing of the Transaction is subject to compliance with certain precedent conditions, including approval by the Central Bank of Brazil and the Administrative Council for Economic Defense (CADE).

The Company reiterates its commitment to keep shareholders and the market in general duly and timely informed, under the terms of the applicable legislation.
