ACQUISITION OVERVIEW

Acquisition

• Acquisition includes Evans eCommerce and wholesale businesses for cash consideration of £23.1m (A$41.0m)

• Binding Asset Purchase Agreement signed on 19 December 2020

Overview

• Acquisition will complete on 23 December 2020 and subject only to payment of cash consideration

Other

• Administrators are entitled to trade from the existing Evans stores until the end of March 2021, in order to liquidate

existing stock in the stores

Transaction

• Transition Services Agreement to be in operation until end of April 2021, after which the Evans business will be fully
