Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal

            Year.

Effective as of December 16, 2021, the Board of Directors of ClearPoint Neuro, Inc. ("Company") adopted the Third Amended and Restated Bylaws, which more closely conform to the language of the Delaware General Corporate Law, address certain non-substantive or technical edits and provide for an exclusive forum provision. The foregoing description of the Third Amended and Restated Bylaws is only a summary and is qualified in its entirety by the full text of the Third Amended and Restated Bylaws, a copy of which is filed as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
