The board of directors of CMBC Capital Holdings Limited announced that Mr. Ho Yau Cheung has resigned as the company secretary of the Company with effect from 14 October 2022 for pursuing his personal career development. Mr. Ho has also ceased to act as an authorised representative of the Company under Rule 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and an authorised representative of the Company to accept on the Company's behalf service of process and notices required to be served on the Company in Hong Kong as required under Rule 19.05(2) of the Listing Rules and Part 16 of the Companies Ordinance with effect from 14 October 2022. Mr. Ho confirmed that he has no disagreement with the Board and there are no other matters that need to be brought to the attention of the shareholders of the Company in relation to his resignation. The Board announce that Mr. Wong Tin Yu has been appointed as the Company Secretary and the Authorised Representative with effect from 14 October 2022. Mr. Wong, aged 32, is a Chartered Secretary, a Chartered Governance Professional and an associate of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute. Mr. Wong graduated from Lingnan University with a Bachelor of Business Administration degree in Finance in 2012. Prior to joining the Company, Mr. Wong worked in Tricor Services Limited from July 2012 to August 2022, with his last position as a Senior Manager of Corporate Services. He has over 10 years of experience in the corporate secretarial field and provided professional corporate and compliance services to Hong Kong
listed companies as well as multinational, private and offshore companies. He was also the
company secretary of certain companies listed on the Stock Exchange.
