Coca-Cola Hellenic Bottling Company S.A. Notification pursuant to Greek Law 3556/2007 and 3340/2005, HCMC Decisions 1/434/3.7.2005, 3/347/12.7.2005 and HCMC Circular No. 33

Athens, Greece - 26 April 2013 - Coca-Cola Hellenic Bottling Company S.A. (the "Company") announces that on 26 April 2013 it received notifications under Greek law 3556/2007 by Truad Verwaltungs AG (in its capacity as professional trustee of a private discretionary trust established for the primary benefit of the present and future members of the family of the late Anastasios George Leventis as per its announcement of 7 March 2013) and by Coca-Cola HBC AG to the following effect: 

On 24 April 2013, Coca-Cola HBC AG acquired through an off-exchange transaction 355,009,014 shares tendered during its tender offer to acquire all issued ordinary shares of the Company (the "Tender Offer"). Following this acquisition, the percentage of Coca-Cola HBC AG's voting rights in the Company increased from 23.28% to 96.85% which corresponds to 355,009,014 shares and voting rights.

As of 25 April 2013, Truad Verwaltungs AG controlled Coca-Cola HBC AG and held an indirect participation of 23.28% in the Company's share capital and voting rights. Following completion of the Tender Offer Truad Verwaltungs AG's indirect participation in the Company increased temporarily to 96.85%.

Following the above off-exchange transaction, these shares and voting rights were contributed in kind as part of Coca-Cola HBC AG's share capital increase which was concluded on 25 April 2013 according to the terms of the Tender Offer. Following completion of the share capital increase, Truad Verwaltungs AG ceased to control Coca-Cola HBC AG within the meaning of Greek law 3556/2007 and consequently the percentage of voting rights it indirectly held in the Company decreased from 96.85% to 0.

Coca-Cola HBC AG continues to hold directly 355,009,014 shares and voting rights in the Company which correspond to 96.85% of its total number of shares and voting rights.
