ChapsVision made an offer to acquire 82.02% stake in Coheris SA (ENXTPA:COH) for €10.3 million on May 21, 2019. Under the transaction, ChapsVision will acquire shares at an offer price of €2.2 (dividend attached) per share. In a related transaction, ChapsVision signed an agreement to acquire initial 17.98% stake in Coheris SA from DevFactory on May 21, 2019. ChapsVision would carry out a squeeze-out procedure following the proposed takeover bid, if all conditions are met. The offer will cease if, on the closing date, the bidder does not hold a number of shares representing a fraction of the Coheris SA's capital exceeding 50%. The completion of the proposal is subject to the AMF's compliance decision on the proposal and, in particular, the financial terms of the proposal. The tender offer will be filed with the French market regulator on July 18, 2019. The Board of Directors of Coheris SA, has recommended that its shareholders tender their shares in the offer. On July 18, 2019, ChapsVision is offering €2.27 per each of the 4.5 million Coheris’ shares it does not already own, representing about 79.14% of the share capital for €10.2 million. The ChapsVision further intends to implement a squeeze-out procedure. On September 4, 2019, The AMF announces that the takeover bid for the shares of Coheris, filed by Invest Securities on behalf of ChapsVision will be open from September 5, 2019 to October 9, 2019 inclusive. ChapsVision is offering €2.27 per each of the 4.3 million Coheris’ shares it does not already own, representing about 75.38% of the share capital for €9.7 million. The offer will lapse if, at the closing date, the Offeror does not hold a fraction of the capital or voting rights of the Company greater than 50%. It does not intend to implement squeeze-out at the end of the offer. Pierre Béal of BM&A Advisory & Support SAS acted as fairness opinion provider to Coheris SA in the transaction. As a result of the transaction, ChapsVision holds 64.33% stake.
