Shanghai Qimao Culture Media Co., Ltd. signed a share transfer agreement to acquire 5% stake in COL Digital Publishing Group Co., Ltd. (SZSE:300364) from Jianshui Wenrui Enterprise Management Co., Ltd. for approximately CNY 300 million on January 25, 2021. Under the terms of the transaction, 36.36 million shares will be transferred at a price of CNY 8.23 per share. On the day when the subject shares are transferred and registered under the name of Shanghai Qimao Culture Media Co., Ltd., Jianshui Wenrui Enterprise Management Co., Ltd. shall issue a payment notice to Shanghai Qimao Culture Media Co., Ltd. If the notice is issued before 11:00 a.m. on the same day, Shanghai Qimao shall issue a payment notice on the same day and if payment notice is issued post 11:00 a.m. Shanghai Qimao shall effectuate the payment on the next day. Post completion, Jianshui Wenrui Enterprise Management Co., Ltd. will hold 439 shares.
