NOTICE TO THE MARKET

Neoenergia S.A. ("Neoenergia"), a publicly-held company enrolled with the CNPJ under No. 01.083.200/0001-18, pursuant to the provisions of Law No. 6.404/76, as amended, and CVM Instruction No. 358/02, as amended, following up on the Material Fact released on December 4th, 2020 and the Notices to the Market released on January 15th, 2021 and January 27th, 2021, hereby informs its shareholders and the market in general as follows.

Provided that the conditions precedent set forth in the Auction Notice nº 01/2020 - CEB-D ("Public Auction"), Bahia Geração de Energia S.A. ("Bahia PCH III"), subsidiary of Neoenergia, and Companhia Energética de Brasília, on this date, have completed the settlement of the Public Auction, through the execution of the share purchase and sale agreement, the payment of the acquisition price and the transfer of the shares, so that Bahia PCH III now holds all of the common shares issued by

CEB Distribuição S.A. ("CEB-D").

The acquisition of CEB-D was the subject matter of the Extraordinary General Meeting held on February 3rd, 2021, pursuant to Article 256 of Law No. 6,404, of December 15th, 1976.
