MATERIAL FACT

Cosan S.A. ("Company") (B3: CSAN3), in compliance with the provisions of Brazilian

Corporation Law (Law No. 6,404/1976) and with the provisions of Brazilian Securities

Commission ("CVM") Ruling No. 358/2002, informs that the General Superintendence of the

Administrative Council for Economic Defense - CADE approved on March 1, 2021, without restrictions, the Merger Case No. 08700.000471/2021-75 related to the combination of the business of its jointly controlled company Raízen Energia S.A. ("Raízen") with Biosev S.A.

("Biosev") as referred to in the Material Fact of February 8, 2021 ("Transaction"). The decision

will only be final after the 15-day waiting period, counted as of its publication in the Federal Official

Gazette, without any appeal or CADE's Tribunal request to review the case, under the terms of the applicable legislation.

As previously disclosed, the consummation of the Transaction remains subject to the fulfillment of other conditions precedent, including, among others, the conclusion of Biosev's corporate reorganization and Biosev's financial indebtedness restructuring.

Cosan will keep the market in general informed about the fulfillment of the remaining conditions precedent and subsequent facts related to the Transaction in compliance with applicable law and

CVM regulation.
