MATERIAL FACT

Cosan S.A. (B3: CSAN3) ("Cosan" or "Company") in compliance with provisions of the Brazilian Securities and Exchange Commission ("CVM") No. 358 of January 3, 2002, announces to its shareholders and the market in general that its indirect controlling shareholder, Mr. Rubens Ometto Silveira Mello ("Controlling Shareholder"), informed the Company that aiming at ensuring stability in the Company's management after approval of the corporate restructuring by the Boards of Directors of the Company, Cosan Limited ("CZZ"), Cosan's controlling company, and Cosan Logística S.A., announced on this date ("Corporate Restructuring"), signed the following commitments: (i) with Dynamo Administradora de Recursos Ltda. and Dynamo Internacional Gestão de Recursos Ltda., wherein the parties covenanted, among other provisions, Dynamo's right to participate in the nomination of an independent member for the Company's Board of Directors, as well as the vote of investment vehicles under its management jointly with the Controlling Shareholder in the election of the board components; and (ii) along with his sisters, wherein both undertook, among other provisions, to follow the Controlling Shareholder's vote in the election of the Company's management.

The effectiveness of the commitments undertaken, which shall be valid for approximately 30 months, are subject to the conclusion of the Corporate Restructuring.
