           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

James Murphy, Executive Vice President, Chief Operating Officer, International, is retiring from the Company. Mr. Murphy's retirement will be effective at the end of 2022. The Company expresses its deep gratitude to Mr. Murphy for more than thirty-five years of service and numerous contributions to the Company's success.

Pierre Riel has been promoted to Executive Vice President, Chief Operating Officer, International. Mr. Riel has overseen operations for the Company in Eastern Canada for over twenty years, and has served as Senior Vice President, Country Manager - Canada since 2019. Mr. Riel will report to the Chief Executive Officer, Craig Jelinek.
