As the Extraordinary General Meeting of Shareholders No.1/2021 on 18 January 2021 of Country Group Development Public Company Limited ("Company"), has resolved to approve the disposal of assets transaction, which is considered as a connected transaction by Landmark Holdings Company Limited ("LH") (which is a direct subsidiary company as the Company holds 70 percent of the total shares), to sell all ordinary shares (100 percent) of Waterfront Hotel Company Limited ("WFH"), and Urban Resort Hotel Company Limited ("URH"), to the Bound and Beyond Public Company Limited ("BEYOND") (formerly known as Padaeng Industry Public Company Limited), which is a connected person of the Company.

Please be informed that on 12 April 2022, the Company has completed the additional asset disposal transaction, to sell the ordinary shares of WFH and URH, equivalent to 12.00 percent of the registered and paid-up capital of WFH and URH, and the remaining ordinary shares of WFH and URH, equivalent to 12.00 percent on 25 July 2022. As a result, the Company has completed the asset disposal transaction, to sell the ordinary shares of WFH and URH in total of 100.00 percent of the registered and paid-up capital of WFH and URH, as approved by the Extraordinary General Meeting of Shareholders.
