Certain Restricted Stock Units of Coursera, Inc. are subject to a Lock-Up Agreement Ending on 27-SEP-2021. These Restricted Stock Units will be under lockup for 181 days starting from 30-MAR-2021 to 27-SEP-2021.

Directors, executive officers and substantially all of other equity holders, including all of the selling stockholders, have agreed with the underwriters that during the period ending on the earlier of 180 days after the date of this prospectus and the opening of trading on the third trading day immediately following issuer's public release of earnings for the second quarter following the most recent period for which financial statements are included in this prospectus (the “restricted period”), subject to specified exceptions, they will not, and will not publicly disclose an intention to, in each case without the prior written consent of Morgan Stanley & Co. LLC and Goldman Sachs & Co. LLC, offer, pledge, sell, contract to sell, sell any option or contract to purchase, purchase any option or contract to sell, grant any option, right, or warrant to purchase, lend or otherwise transfer or dispose of, directly or indirectly, any shares of common stock or any securities convertible into or exercisable or exchangeable for shares of common stock, or enter into any swap or other arrangement that transfers to another, in whole or in part, any of the economic consequences of ownership of our common stock.
