CP All Public Company Limited (CPALL or the Company) would like to inform that the Board of Directors' Meeting No.5/2022 held on July 8, 2022 via electronic has resolved important resolutions as follows:
An appointment of Mr.Yuthasak Poomsurakul to be Chief Executive Officer and be effective from July 9, 2022 onwards.
A registered capital increase at amount of Baht 750 million, totaling the registered capital at amount of Baht 1,000 million in All Corporation Co., Ltd (a direct subsidiary with 99.99% ownership) by using CPALL's operating cash flow as a source of funds, in order to increase an investment in indirect subsidiary with the same shareholding proportion at 64.99% in All Guardian Co., Ltd, which operates a retail business of health and beauty products., together with the establishment of new indirect subsidiaries in Cambodia and the Lao People's Democratic Republic as follows:
All Convenience Logistic Co., Ltd (an indirect subsidiary with 100% ownership) with registered capital of USD 5,000 in Cambodia and changed the name to All Convenience Services Co., Ltd and increased registered capital to USD 5 million to provide bill payment services.
All Im-Ex and Proservices Co., Ltd (an indirect subsidiary with 100% ownership) with registered capital USD 4 million in Cambodia to do the business of producing ready-to-eat food, import and distribution of equipment, also provide maintenance service of equipment in convenience stores.
Laos All Convenience Services Co., Ltd (an indirect subsidiary with 100% ownership) with registered capital USD 2 million in the Lao People's Democratic Republic to provide bill payment services.
Laos All Im-Ex and Proservices Co., Ltd (an indirect subsidiary with 100% ownership) with registered capital USD 2 million in the Lao People's Democratic Republic to do the business of producing ready-to-eat food, import and distribution of equipment, also provide maintenance service of equipment in convenience stores.
In this regard, this transaction is not a connected transaction and the value of this transaction is not considered to disclose information in accordance with the Notification of the Acquisition or Disposition of Assets of Listed Companies to the Stock Exchange of Thailand.
