Item 8.01. Other Events.

On August 21, 2020, Cracker Barrel Old Country Store, Inc. (the "Company") issued a statement confirming that affiliates of Biglari Capital Corp. ("Biglari Capital") have notified the Company of their intention to nominate Raymond P. Barbrick to stand for election to the Board of Directors of the Company (the "Board") at the Company's 2020 Annual Meeting of Shareholders.

A copy of the Company's statement acknowledging Biglari Capital's intention to nominate a director is filed herewith as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
