ANNOUNCEMENT
PROPOSED AMENDMENTS TO
THE ARTICLES OF ASSOCIATION
The board of directors of CSC Financial Co., Ltd. (the "Company") hereby announces that the 31st meeting of the second session of the board of directors of the Company considered and approved the Resolutions on Establishment of Asset Management Subsidiary and Corresponding Amendment of Business Scope and Articles of Association, among which the Company shall make corresponding changes to its business scope due to the establishment of asset management subsidiary, and proposes to make corresponding amendments to the terms in relation to the business scope in the Articles of Association of CSC Financial Co., Ltd. (the "Articles of Association") based on the requirements issued by the China Securities Regulatory Commission entitled "Trial Regulations for the Establishment of Subsidiaries of Securities Companies 《( 證 券 公 司 設 立 子 公 司 試 行 規 定》)". For details of the amendments, please refer to the appendix to this announcement.
The amendments to the Articles of Association shall be effective subject to the submission to the shareholders' general meeting of the Company for consideration and approval, and upon the necessary approval or permission of establishment of assets management subsidiary by the regulatory authorities and the corresponding change of business scope. A circular containing further details will be dispatched to the shareholders of the Company in due course.
