ANNOUNCEMENT

CHANGE OF SENIOR MANAGEMENT

AND RE-DESIGNATION OF DIRECTOR

CHANGE OF GENERAL MANAGER

The board of directors (the "Board") of Datang Environment Industry Group Co., Ltd.* (the "Company") announces that Mr. Hou Guoli ("Mr. Hou") has resigned as the general manager of the Company, with effect from 24 July 2020, due to work rearrangement.

Mr. Hou has confirmed that he has no disagreement with the Board and, there is no other matter in relation to his resignation as the general manager that needs to be brought to the attention of the shareholders (the "Shareholders") of the Company.

The Company and the Board would like to take this opportunity to express its sincere gratitude to Mr. Hou for his contribution to the Company during his tenure as the general manager of the Company.

The Board hereby announces that, it has resolved to appoint Mr. Wang Yanwen ("Mr. Wang") as the general manager of the Company, for a term of three years commencing from 24 July 2020. Pursuant to the articles of association of the Company (the "Articles"), Mr. Wang will be subject to re-election and re-appointment upon the expiry of his term of office. The remuneration of Mr. Wang as the general manager of the Company will be determined according to his terms of reference and taking into account his duties and responsibilities in the Company.

The biographical details of Mr. Wang are set out as follows:

Mr. Wang Yanwen, aged 55, served as the secretary of the Party committee and deputy general manager of the Company from July 2019 to July 2020. He has served as the executive director of the Company since October 2019, and the general manager of the Company since July 2020. Mr. Wang has over 30 years of extensive experience in the power industry. Prior to joining the Company, Mr. Wang served as an electrical technician of the engineering department, the head of the microwave office, specialized engineer and deputy director of the Communication Branch, as well as director of the communication engineering office of the repair and maintenance engineering division, the Party branch secretary of the heating ventilation department and head of the fuel management department of Shuangyashan Power Plant ( 雙 鴨 山 發 電 廠 ) from February 1985 to July 1998, head of the general office of Heilongjiang Power Fuel Corporation ( 黑 龍 江 省 電 力 燃 料 總 公 司) from July 1998 to February 2004, head of the Heilongjiang transportation office of Datang Power Fuel Co., Ltd. ( 大 唐 電 力 燃 料 有 限 公 司) from February 2004 to December 2004, deputy director of the fuel management center of Datang Heilongjiang Power Generation Co., Ltd. ( 大 唐 黑 龍 江 發電有限公司) and deputy general manager of Datang Heilongjiang Power Fuel Co., Ltd. ( 大 唐 黑 龍 江 電 力 燃 料 有 限 公 司) from December 2004 to October 2006, director of the fuel management center of Datang Heilongjiang Power Generation Co., Ltd. and general manager of Datang Heilongjiang Power Fuel Co., Ltd. from October 2006 to March 2010, vice chief economist and director of the fuel management center of Datang Heilongjiang Power Generation Co., Ltd. and general manager of Datang Heilongjiang Power Fuel Co., Ltd. from March 2010 to August 2010, vice chief economist, vice chief economist and director of the ideological and political department as well as deputy secretary of the Party committee directly administered by the company and director of the labor union office of Datang Heilongjiang Power Generation Co., Ltd. from August 2010 to January 2015, a member of Party committee, head of the discipline inspection committee, chairman of the labor union and head of the discipline inspection committee of Datang Jilin Power Generation Co., Ltd. ( 大 唐 吉 林 發 電 有 限 公 司) from January 2015 to December 2016, deputy director of the fuel management department of China Datang Corporation Ltd. ( 中 國 大 唐 集 團 有 限 公 司) from December 2016 to December 2017, secretary of the Party committee, deputy general manager, chairman and secretary of the party committee of Datang Power Fuel Co., Ltd. from December 2017 to July 2019. Mr. Wang graduated from Harbin Institute of Technology in July 1996 majoring in computer and application.

As at the date of this announcement, save as disclosed above, Mr. Wang confirmed that (i) he does not have any relationship with any directors, senior management, substantial or controlling shareholders of the Company; (ii) he did not hold any other directorships in any listed companies in the last three years; (iii) he does not hold any other positions in the Company or any of its subsidiaries; and (iv) he has no interest in shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Save as disclosed above, there are no other matters relating to the above appointment that need to be disclosed pursuant to Rule 13.51(2)(h) to (v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Limited (the "Listing Rules") or brought to the attention of the Shareholders.

The Company and the Board would like to extend its welcome to Mr. Wang on his new appointment.

RE-DESIGNATION OF DIRECTOR

The Board hereby announces that, due to work rearrangement, Mr. Hou, an executive director of the Company, was re-designated as a non-executive director of the Company. The term of office shall commence from 24 July 2020 to the expiration of current session of the Board. Mr. Hou will continue to retain his position in the Remuneration and Evaluation Committee, the Strategy and Investment Committee of the Board.

Upon the abovementioned re-designation, Mr. Hou will enter into a new service contract with the Company. According to the Articles, Mr. Hou will be re-elected after the expiration of his term of office. As a non-executive director of the Company, Mr. Hou will not receive any remuneration from the Company.

The biographical details of Mr. Hou are set out as follows:

Mr. Hou Guoli, aged 57, has served as the general manager and deputy secretary of the Communist Party Committee of the Company since March 2019 and the executive director of the Company since October 2019. Mr. Hou Guoli possessed over 30 years of work experience in the power industry and used to be responsible for the business operation and management of various electric power enterprises. Before joining the Company, Mr. Hou Guoli successively worked as a specialized technician, deputy director and director of the biotechnology division in the Liangzihe Power Plant ( 亮 子 河 發 電 廠 ) from August 1984 to April 1993. He served successively as the deputy chief engineer, chief engineer, deputy plant manager and plant manager in Jiamusi No. 2 Power Plant ( 佳 木 斯 第 二 發 電 廠 ) from April 1993 to July 1997. He served successively as the secretary of the Communist Party Committee and general manager of Qitaihe No.1 Power Generation Co., Ltd. ( 七 台 河 第 一 發 電 有 限 責 任 公 司) from July 1997 to August 2004. He served as the deputy director of production safety department of China Datang Corporation Ltd. from August 2004 to April 2008. He worked for Datang Shaanxi Power Generation Co., Ltd. ( 大 唐 陝 西 發 電 有 限 公 司) from April 2008 to July 2013, serving successively as the secretary of the Communist Party committee and general manager, and the general manager and deputy secretary of the Communist Party Committee. From July 2013 to December 2016, he served successively as the general manager and secretary of the Communist Party Committee, and the general manager and deputy secretary of the Communist Party Committee in

the Hunan Branch of China Datang Corporation Ltd. ( 中 國 大 唐 集 團 有 限 公 司 湖 南 分 公 司) and Datang Huayin Electric Power Co., Ltd. ( 大 唐 華 銀 電 力 股 份 有 限 公 司). From December 2016 to March 2019, he served successively as the general manager and deputy secretary of the Communist Party Committee, and chairman and secretary of the Communist Party Committee in China Datang Overseas Investment Co., Ltd. ( 中 國 大 唐 集 團 海 外 投 資 有 限 公 司). Mr. Hou Guoli graduated from Power Engineering Department of Northeast Electric Power University ( 東 北 電 力 學 院) and obtained the Bachelor of Engineering in thermal power engineering for power plants in July 1984. Mr. Hou Guoli received special governmental allowance granted by State Council of the People's Republic of China in December 2016. He was accredited as a professor level senior engineer by the assessment centre for talents of China Datang Corporation Ltd. in January 2018.

As at the date of this announcement, save as disclosed above, Mr. Hou confirmed that

1. he has no relationship with any other directors, supervisors, senior management, substantial shareholders or controlling shareholders of the Company; (ii) he does not hold any other positions within the Company or other members of the Company and its subsidiaries; (iii) he did not hold any directorship of any other public companies the securities of which are listed on any securities market in Hong Kong or overseas in the last three years; (iv) he has no interest or deemed interest in any share or underlying share of the Company or its associated corporations within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong); and

1. there are no other matters relating to his appointment that need to be brought to the attention of the shareholders of the Company or the Stock Exchange or to be disclosed pursuant to Rule 13.51(2)(h) to (v) of the Listing Rules.

CHANGE OF DEPUTY GENERAL MANAGERS

The Board announces that Mr. Wang has resigned as the deputy general manager of the Company due to his redesignation as the general manager of the Company; and Mr. Liu Weihua, due to the reason of age, has resigned as the deputy general manager, both with effect from 24 July 2020.

Mr. Liu Weihua has confirmed that he has no disagreement with the Board, and there are no other matters in relation to his resignation as the deputy general manager that need to be brought to the attention of the Shareholders.

The Company and the Board would like to take this opportunity to express their sincere gratitude to Mr. Liu Weihua for his contribution to the Company during his tenure as the deputy general manager of the Company.

The Board hereby announces that, it has resolved to appoint Mr. Tian Dan ("Mr. Tian") and Mr. Liu Chundong as the deputy general managers of the Company, for a term of three years commencing from 24 July 2020. Pursuant to the Articles, Mr. Tian and Mr. Liu Chundong will be subject to re-election and re-appointment upon the expiry of his term of office. The remuneration of Mr. Tian and Mr. Liu Chundong as the deputy general managers of the Company will be determined in accordance with their terms of reference and taking into account their respective duties and responsibilities in the Company.

The biographical details of Mr. Tian are set out as follows:

Mr. Tian Dan, aged 55, is a member of the Communist Party of China and a senior engineer. Mr. Tian has served as the deputy general manager of the Company since July 2020. Mr. Tian has over 30 years of extensive experience in the power generation industry. Prior to joining the Company, Mr. Tian served as a shift supervisor and technician of the Shanxi Shentou No. 2 Power Plant ( 山 西 神 頭 第 二 發 電 廠) from July 1987 to January 1993. He served as an engineer at the Thermal Power Simulation Training Center of Shanxi Electric Power Company ( 山 西 省 電 力 公

司) from January 1993 to October 1996. He served as an engineer of the Engineering and Technology Department, manager of the Production Preparation Department,

manager of the Power Generation Department and deputy chief engineer of Yangcheng International Power Generation Co., Ltd. ( 陽 城 國 際 發 電 有 限 責 任 公 司) from October 1996 to July 2001. He served as the deputy general manager of Yangcheng International Power Generation Co. Ltd. from July 2001 to January 2005. He served as the deputy general manager of Yangcheng International Power Generation Co.

Ltd. and the deputy general manager of Datang Yangcheng Power Generation Co., Ltd. ( 大 唐 陽 城 發 電 有 限 責 任 公 司) from January 2005 to December 2005. He served as the secretary of the Party committee, the deputy general manager of Yangcheng International Power Generation Co., Ltd. and the deputy general manager of Datang Yangcheng Power Generation Co., Ltd. from December 2005 to November 2006. He served as the general manager and the secretary of the Party committee of Yangcheng International Power Generation Co., Ltd. and the general manager of the Datang Yangcheng Power Generation Co. Ltd. from November 2006 to November 2009. He served as the secretary of the Communist Party Committee and the deputy

general manager of the Chongqing Branch of Datang International Power Generation Co., Ltd., ( 大 唐 國 際 發 電 股 份 有 限 公 司 重 慶 分 公 司) and also the secretary of

the Party committee and deputy general manager of Chongqing Yuneng (Group) Co., Ltd.. ( 重 慶 渝 能（集 團）有 限 責 任 公 司) from November 2009 to December 2012. He served as the secretary of the Communist Party Committee and general manager of the Chongqing Branch of Datang International Power Generation Co., Ltd. from

December 2012 to February 2015. He served as the general manager and the deputy secretary of the Party committee of Chongqing Yuneng Industry (Group) Co., Ltd. ( 重 慶 渝 能 產 業（集 團）有 限 責 任 公 司) from February 2015 to March 2017. He served successively as the general manager, the deputy secretary of the Party committee, the chairman and the secretary of the Party committee of the Ningxia branch of China

Datang Corporation Ltd. from March 2017 to July 2019. He served as the chairman and the secretary of the Party committee of the Ningxia branch of China Datang Corporation Ltd., as well as the director of the Ningxia Planning and Development Center ( 寧 夏 規 劃 發 展 中 心) of China Datang Corporation from July 2019 to November 2019. He also served as the chairman and secretary of the Party committee of Xiongan Energy Co., Ltd. of China Datang Corporation ( 中 國 大 唐 集 團 雄 安 能 源 有 限 公 司) from November 2019 to June 2020. Mr. Tian studied in the Department of Thermal Engineering of Taiyuan University of Technology from September 1983 to July 1987 and obtained his bachelor's degree majoring in power plant thermal power engineering. He then studied in the School of Economics and Management of Tsinghua University from September 2002 to January 2005, majoring in senior management and business administration and obtained a master's degree in senior management business administration.

The biographical details of Mr. Liu Chundong are set out as follows:

Mr. Liu Chundong, aged 50, a member of the Communist Party of China, a senior engineer. Mr. Liu has served as the deputy general manager of the Company since July 2020. Mr. Liu has nearly 30 years of extensive experience in the power industry. Prior to joining the Company, Mr. Liu served successively as a watch of operation, chief watch of operation, deputy shift leader, specialist engineer in operation, specialist engineer in electric operation and maintenance of the Production Technology Department, shift supervisor of the Production Technology Department, the director (maintenance) of the Electrical Branch of Tongliao Power Generation Plant ( 通 遼 發 電 總 廠 發 電 分 廠) from July 1991 to January 2005. He served as a senior engineering supervisor of the Power Generation Management Department of CPI Holingol Coal ( 中 電 霍 煤 發 電 管 理 部) from January 2005 to May 2008. He served as deputy director of the Safety Division and Engineering Department of the Power Generation Department of CPI East Inner Mongolia Energy ( 中 電 投 蒙 東 能 源 發 電 事 業 部 安 全 生 產 與 工 程 部) and the deputy director of the Tender and Bid Management Center of CPI East Inner Mongolia Energy Co., Ltd. from May 2008 ( 中 電 投 蒙 東 能 源 集 團 公 司 招 標 管 理 中 心) to February 2011. He served as the deputy president of Datang Renewable Power Maintenance Co., Ltd. ( 大 唐 新 能 源 電 力 檢 修 有 限 公 司) as well as the deputy general manager of Beijing Tanghao Electricity Engineering Technology Research Co., Ltd. ( 北 京 唐 浩 電 力 工 程 技 術 研 究 有 限 公 司) from February 2011 to January 2012. He served successively as the deputy director (in charge) of the Science and Information Department and the director of President Office Department (International Cooperation Department, Policy and Law Department) of China Datang Corporation Renewable Power Co., Ltd. ( 中 國 大 唐 集 團 新 能 源 股 份 有 限 公 司) from January 2012 to October 2015. He served as the dean of Datang Renewable Energy Test and Research Institute ( 大 唐 新 能 源 試 驗 研 究 院) from October 2015 to December 2016, the chief engineer of China Datang Corporation Renewable Power Co., Ltd. from December 2016 to December 2017. He served as the deputy general manager and member of the Party committee of China Datang Group Overseas Investment Co., Ltd. ( 中 國 大 唐 集 團 海 外 投 資 有 限 公

the associate dean and member of the Party committee of China Datang Corporation Renewable Power Science and Technology Research Institute Co., Ltd. ( 中 國 大 唐 集 團 新 能 源 科 學 技 術 研 究 院 有 限 公 司) from March 2019 to June 2020. Mr. Liu studied in Harbin Institute of Technology from July 1987 to July 1991, obtained his bachelor's degree majoring in electric power system and automation.

The Board is of the view that Mr. Tian and Mr. Liu Chundong are suitable candidates for the positions of the deputy general manager of the Company given their work experience and background mentioned above.

Save as disclosed above, as of the date of this announcement, Mr. Tian and Mr. Liu Chundong confirmed that (i) they do not have any relationship with any directors, senior management, substantial or controlling shareholders of the Company; (ii) they did not hold any other directorships in any listed companies in the last three years; (iii) they do not hold any other positions in the Company or any of its subsidiaries; and (iv) they have no interest in shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).
