Item 1.01. Entry into a Material Definitive Agreement.

On September 22, 2021, the Company entered into a managed services contract (the "Agreement") with IZEA Worlwide, Inc. ("IZEA"), a provider of influencer marketing technology, data and services, pursuant to which IZEA will execute a celebrity influencer online dating campaign for DatChat Messenger to a targeted age group for an agreed upon period of time in consideration of the Company paying IZEA a low seven figure fee.

The foregoing summary of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement which is filed as Exhibit 10.1 to this Current Report on Form 8-K and is hereby incorporated by reference.
