Delta Drone announces the allocation of 103 056 240 free stock warrants ("BSA J") to all its shareholders and the admission of said BSA J to trading on the Euronext Growth market.

As previously announced, Delta Drone is proceeding with the allocation of free stock warrants to all its shareholders at a ratio of one (1) BSA J per share held, with a subscription price per share upo n exercise of three

(3) BSA J set at 0.093 euros.

PURPOSE OF THIS TRANSACTION

In the event that all the BSA J issued and allocated are exercised, the funds raised will support the Delta Drone group's development, which will create value for its sharehold ers. Furthermore, this allocation of free BSA J aims to reward all its shareholders for their support and loyalty during the last few financial years .

SUMMARY OF THE TERMS FOR THE ALLOCATION OF FREE BSA J TO ALL DELTA DRONE SHARHEOLDERS

This issue was decided by the company's Board of Directors on 1 February 2019 pursuant to the delegation of authority granted by the Extraordinary and Ordinary General Meeting of 13 December 2018, under its fourth resolution.

On 18 February 2019, each shareholder shall receive one BSA J for each share held on 15 February 2019.

As from 14 February 2019, the BSA J issued by Delta Drone shall be listed for trading on the EURONEXT GROWTH PARIS market under ISIN code FR0013400983. Their exercise price will be 0.093 euros, with an exercise equivalent of one (1) new subscribed share for the exercise of three (3) BSA J. Bearers of BSA J will be able to exercise them and obtain new Delta Drone shares (FR0011522168) up to and including 18 February 2020.

In the event that BSA J are exercised within the first two (2) months followi ng 18 February 2019, i.e., by 18 April 2019, at the latest (the "early-­‐exerciseperiod"), every shareholder exercising said BSA J will be allocated, free of charge, as many stock warrants called BSA Y as the number of new shares created upon exercise of the BSA J. The BSA Y (ISIN: FR0013400991) will immediately be fungible with the 22 058 823 BSA created on 1 February 2019 under the last phase of the OCABSA program. The BSA Y issued and created by Delta Drone will be listed for trading on the EURONEXT GROWTH PARIS market. Their exercise price will be 0.136 euros, with an exercise equivalent of one (1) new subscribed share for the exercise of one (1) BSA Y. BSA Y that are not exercised by 1 February 2023 at the latest shall expire and lose all value.

AMF-­‐approved Prospectus as the total proceeds from this transaction represent less than 8 000 000 euros.
