Despegar.com, Corp. (NYSE:DESP) agreed to acquire TVLX Viagens e Turismo S.A. for approximately $15 million on May 5, 2022. The total consideration for the transaction is approximately $15 million. Under the terms of the agreement, 60% of the purchase price will be payable at closing, 20% in 24 months and the remaining 20% in 36 months. Both companies will continue with their brands and will follow their commercial managements independently. The transaction is subject to customary closing conditions and is expected to take place in the second quarter of 2022. Kroll acted as exclusive financial advisor to ViajaNet in connection with the transaction.
