           Appointment of Certain Officers; Compensatory Arrangements of Certain
           Officers.

On November 30, 2020, Gary DeStefano informed Digimarc Corporation (the "Company") and its Board of Directors (the "Board") of his decision to resign as a member of the Board, effective December 15, 2020. Mr. DeStefano's decision to resign was based on personal reasons and was not due to any disagreement with the Company on any matter relating to its operations, policies or practices.
