CMerTV, Inc. agreed to acquire relaido, Inc. from OPT Holding, Inc. (TSE:2389) on June 18, 2020. Under the terms of the transaction, CMerTV will acquire 2,400 shares representing 100% stake in relaido. Upon completion, OPT Holding will not have any stake left in relaido and relaido will be a subsidiary of CMerTV. relaido reported total assets of approximately ¥430 million, net assets of approximatey 300 million, sales of approximately 700 million, operating loss of approximately ¥130 million and net income of approximately ¥230 million in the year ending on December 2019. The transaction is expected to complete on June 30, 2020. The impact of the transaction on the consolidated business results of OPT Holding is expected to be minor at this time.
