Item 8.01. Other Events.

As previously disclosed in our Current Report on Form 8-K filed on September 27, 2018, on September 24, 2018, Digital Realty Trust, Inc., a Maryland corporation (the "Company," "we," "us," or "our") entered into forward sale agreements with each of Bank of America, N.A. and Citibank N.A. (collectively, the "Forward Counterparties"). On September 24, 2020, we physically settled the forward sale agreements in full by issuing an aggregate of 9,775,000 shares of our common stock to the Forward Counterparties in exchange for net proceeds of approximately $1 billion.
