(Alliance News) - Digital360 Spa announced Friday that it has completed the acquisition of 100 percent of the shares of Buenos Aires-based Ycon SAS and its U.S. subsidiary Textualists LLC, based in Albuquerqe, New Mexico.

"With this additional acquisition, the sixth finalized during 2022 in the Latin American region, we continue successfully on the path of making the group the reference point for supporting the world's leading technology companies in their marketing and lead generation activities in Spanish-speaking countries," the company said.

Ycon, based in Buenos Aires, is a company that specializes in producing high-quality editorial content and communication campaigns and supports its B2B clients in improving their image and business positioning in their target market.

The acquisition of Ycon follows in Argentina that of Xona, a marketing agency specialized in the B2B market and in the sector of technology companies, finalized this same month: Digital360 thus aims to replicate in the LATAM area-after Mexico and Colombia-the business model successfully developed in Italy, which involves combining digital publishing assets with B2B marketing activities as well as technology platforms from Martech and Salestech.

Ycon develops to date a turnover of about EUR150,000.

The agreement provides for the purchase of 100 percent of the shares for a consideration of USD130,000, to which an earn-out component may be added based on the achievement of certain projected financial results in fiscal years 2023 and 2024.

The agreement among other stipulations provides, in continuity with the current management situation and following an established and successfully tested acquisitive model to date, that entrepreneur Pedro Ylarri will continue as manager for at least four years after the acquisition.

Digital360's stock is down 2.0 percent at EUR4.33 per share.
