Notice of Election of Board Director Candidates

DIP Corporation ("DIP") announces that it will submit a proposal on the election of six board director candidates at the 24th Annual General Meeting of Shareholders to be held on May 26, 2021, as resolved at the Board of Directors meeting held on April 7, 2021.

Election of Board Director Candidates

The terms of office of six incumbent board directors will expire at the conclusion of the 24th Annual General Meeting of Shareholders to be held on May 26, 2021. Accordingly, DIP proposes the election of six board directors.

*2 DIP has nominated Ms. Eriko Tanabe as an independent officer as provided for under the Tokyo Stock Exchange listing rules and has registered her as such with said exchange. Mr. Kuniyoshi Mabuchi is a newly appointed outside director candidate, whom DIP has nominated as an independent officer as provided for under the Tokyo Stock Exchange listing rules and plans to register as such with said exchange. If this proposal is approved at the Annual General Meeting of Shareholders and these two candidates are appointed as outside board directors, they will be registered as independent directors.
