Dear Sir/Madam,

Pursuant to applicable regulations of Securities and Exchange Board of India (Listing Obligation and Disclosure Requirements) Regulations, 2015, including Regulation 30, this is to inform you that the Board of Directors of the Company at their meeting held today, i.e., March 25, 2022, has inter-alia: a) Approved the re-appointment of Mr. Jawahar Lal Goel (DIN: 00076462) as the Managing

Director of the Company from April 1, 2022 to March 31, 2025 (both days inclusive), basis the recommendations of Nomination and Remuneration Committee, as per the applicable provisions of Companies Act, 2013 and SEBI Regulations. Further, the said re-appointment is subject to the approval of shareholders of the Company, in terms of applicable provisions. Mr. Jawahar Lal Goel is also the Chairman of the Board and shall continue to be the Chairman and;

b)Approved the re-appointment of Mr. Anil Kumar Dua (DIN: 03640948) as the Whole Time Director of the Company from March 26, 2022 to March 25, 2025 (both days inclusive), basis the recommendations of Nomination and Remuneration Committee, as per the applicable provisions of Companies Act, 2013 and SEBI regulations. Further, the said re-appointment is subject to the approval of shareholders of the Company, in terms of applicable provisions.

Further, in compliance with circular no. LIST/COMP/14/2018-19 and Ref No: NSE/CML/2018/24 dated June 20, 2018, issued by BSE Limited and National Stock Exchange of India Limited, respectively, we wish to inform that Mr. Jawahar Lal Goel and Mr. Anil Kumar Dua has not been debarred from holding the office of Director by virtue of any SEBI order or any other authority.

Brief profile (in case of appointment)	Mr. Jawahar Lal Goel has been actively involved in the creation and expansion of the Company and has been a pioneer of the Direct-to-Home (DTH) services in India. Mr. Goel has been instrumental in establishing Dish TV as the leading brand with India's most modern andadvanced technological infrastructure. Mr. Goel led the initiatives of the Indian Broadcasting Foundation (IBF) as its president from September 2006 to September 2010. He has also been on the Board of various committees and task forces set up by Ministry of Information & Broadcasting (MIB), and continues to address several critical matters related to the industry. He is a prime architect in establishing India's most modern and advanced technological infrastructure for the implementation of Conditional Access System (CAS) and Direct-to-Home (DTH) services. Mr. Jawahar Lal Goel is Chairman and Managing Director of the Company, in the category of Whole-time Key Managerial Personnel. As on date, Mr. Goel (DIN: 00076462) does not hold directorship in any Public Limited or Private Limited Company.	Mr. Anil Kumar Dua has worked in several well-known entities such as Hindustan Unilever, Gillette and Hero MotoCorp. Company, Prior to joining the he was the Managing Director of OTE Group; which represents major franchises in automobiles, electronics, home appliances, tyres, batteries and lubricants with operations in Oman and UAE. Mr. Dua has won several accolades in his career at company and industry level, including top CMO and CEO awards. He has also been an active participant in different forums like CII, SIAM, FADA & FICCI, and has also been the Chairman of the Retail Council of the Society of Indian Automobile Manufacturers (SIAM). He was also on the board of Audit Bureau of Circulation (ABC). Mr. Dua is an engineer from IIT, Delhi and an MBA from IIM, Ahmedabad. Mr. Dua has a rich experience in various facets of business management such as brand building, marketing, customer experience, supply chain and strategy. As on date, Mr. Anil Kumar Dua (DIN: 03640948) does not hold directorship in any Public Limited or Private Limited Company.

Mr. Jawahar Lal Goel is not related with any existing Director of the Company. Mr. Goel is the Promoter and a Key Managerial Personnel of the Company.
