PJSC DIXY GROUP ANNOUNCES THAT MOEX TOOK A DECISION TO DELIST ORDINARY SHARES OF PJSC

Moscow, Russia, May 25, 2018.

PJSC DIXY Group announces that MOEX (Moscow Exchange) took a decision to delist ordinary shares of PJSC DIXY Group upon application by the Company.

On December 25, 2017, PJSC DIXY Group's Extraordinary Shareholder Meeting took a decision to apply to Moscow Exchange for delisting. This decision came into force in February 2018, once share repurchase was finalized in accordance with the Russian legislation. As a result, PJSC DIXY Group acquired 8.76% of its shareholder capital at 340 roubles per ordinary share.

In the end of February, JSC DIXY Yug made a mandatory tender offer to shareholders of PJSC DIXY Group to repurchase their shares at a price of 340 Russian rubles per ordinary share. Previously, JSC DIXY Yug together with its affiliated parties crossed 75% threshold of total capital of PJSC DIXY Group.

Following the adoption of the MTO, JSC DIXY Yug consolidated, together with its affiliates, 98.79% of the shares in PJSC DIXY Group and gained a right to demand the repurchase of the remaining shares from minority shareholders, which it plans to buyout within the period established by law.

Based on the EMG decision PJSC DIXY Group applied to Moscow Exchange, on May 24, 2018, with a request for delisting of its own ordinary shares, as a result MOEX excluded the shares of PJSC DIXY Group from the list of securities admitted to trading.

In accordance with this decision, ordinary shares of PJSC DIXY Group will cease trading on MOEX on June 28, 2018.
