Background/Description of the Disclosure

Please be advised that the Board of Directors of BDO Leasing and Finance, Inc. (the "Corporation") at its meeting held January 31, 2020 approved the following amendments to the Articles of Incorporation of the Corporation: 1. Amendment of the Corporation's corporate name to United Platinum Holdings Corporation; 2. Amendment of the Second Article of the Corporation's Articles of Incorporation to reflect the change in its primary and secondary purposes; and 3. Amendment of the Third Article of the Corporation's Articles of Incorporation to reflect the change in its principal office address to Unit 1204, Galleria Corporate Center, EDSA corner Ortigas Ave., Brgy. Ugong Norte, Quezon City. As of date of this amendment disclosure, the change of the Corporation's name to "United Platinum Holdings Corporation" under the First Article and the change in address under the Third Article will no longer push through. As disclosed, the name of the Corporation will be changed instead to "Dominion Holdings, Inc." as approved by the Board of Directors and stockholders. Please refer to separate disclosure under PSE Circular No. C05047-2022 for the latest amendments to the Articles of Incorporation of the Corporation, including this change of name.
