“Reverse take-over” transaction through merger by incorporation of Seeweb Holding into DHH: recordings of the relevant merger deed at the competent Companies’ Registers and effective date of the merger

Milan, 27 October 2020. DHH S.p.A. ('DHH' or the 'Company') (DHH.MI | WDHH21.MI) (ISIN shares IT0005203622 | ISIN warrants IT0005203689), the cloud computing provider of Southeast Europe, announces that today the merger deed relating to the merger by incorporation of Seeweb Holding S.r.l. ('Seeweb Holding') into DHH (the 'Merger') results duly recorded at the competent Companies' Registers.

More specifically, the abovementioned merger deed, entered into between DHH and Seeweb Holding on 15 October 2020, was recorded at (i) the Companies' Register of Frosinone - Latina (as far as Seeweb Holding is concerned) on 26 October 2020, and (ii) the Companies' Register of Milano Monza-Brianza Lodi (as far as DHH is concerned) on the date hereof.

Since the abovementioned recordings occurred both before 31 October 2020, the Merger will be effective, for statutory purposes, starting from 11:59 p.m. of 31 October 2020 (the 'Effective Date'), as previously communicated.

It is worth reminding that on the Effective Date, inter alia, an amended DHH's bylaws - as approved by the Shareholders' Meeting of the Company on 30 June 2020 and whose text is available on DHH's website (enclosed to the merger plan relating to the Merger) - will entry into force.
