DISCLOSEABLE TRANSACTIONS

RELATING TO RE-FACTORING AGREEMENTS AND SUPPLEMENTAL

AGREEMENTS

Reference is made to the announcements (the "Announcements") of Doyen International Holdings Limited dated 26 March 2021 in relation to the disclosable transactions in relation to the Supplemental Agreement with Kum Yang, Supplemental Agreement and Re-factoring Agreement with Pun Yu and Re-factoring Agreement with Chung Ho. Capitalised terms used herein shall have the same meaning as those defined in the Announcements unless the context requires otherwise.

Kum Yang is established in the PRC with limited liability. It is principally engaged in building and construction service. To the best knowledge, information and belief of the Directors, having made all reasonable enquiries, Kum Yang and its ultimate beneficial owner(s) are Independent Third Parties not connected with the Company and connected persons of the Company. The ultimate beneficial owners of Kum Yang are Ren Jin and Zhao Xiao Ji.

To the best knowledge of the Directors, (i) there are no relationship, arrangement, understanding and/or undertaking of any sort among each of Kum Yang, Pun Yu and Chung Ho; and their respective ultimate beneficial owners with the Company or its connected person; and (ii) Kum Yang, Pun Yu and Chung Ho and their respective ultimate beneficial owner(s) do not have any other past or present relationships, whether formal or informal, business or otherwise, implied or explicit, with the Company's existing customers.

As at the date of this announcement, the Board comprises Mr. Lo Siu Yu (Chairman), Mr. Tai Xing (Chief Executive Officer), and Mr. Cho Chun Wai as executive Directors; and Ms. Luo Shaoying (Vice Chairman) and Mr. Pan Chuan as non-executive Directors; and Mr. Chan Ying Kay, Mr. Leung Kin Hong and Mr. Wang Jin Ling as independent non-executive Directors.
