Dufry plans to issue the equivalent of EUR 850 million aggregate principal amount of senior notes in two tranches: a Euro tranche maturing in 2028 and a Swiss franc tranche maturing in 2026. Proceeds from the offering are intended to be used to refinance existing bank debt and for general corporate purposes. It is expected that the EUR Senior Notes due 2028 and CHF Senior Notes due 2026 (together, the "Notes") will be admitted to the Official List of The International Stock Exchange. The Notes will be offered and sold only to non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act of 1933, as amended (the "Securities Act"). Exact terms and conditions are expected to be finalized in the coming days.
