ANNOUNCEMENT REGARDING RECEIPT OF FEEDBACK OF

THE PROPOSED NON-PUBLIC ISSUANCE OF

A SHARES BY THE COMPANY

References are made to (i) the announcement of Dynagreen Environmental Protection Group Co., Ltd.* (綠色動力環保集團股份有限公司) (the "Company") dated 30 October 2019; (ii) the circular of the Company (the "Circular") dated 25 November 2019; (iii) the announcement of the Company dated 10 December 2019; (iv) the poll results announcement of the Company dated 20 December 2019; and (v) the announcement of the Company dated 6 January 2020 in relation to, among other things, the Proposed Non-public Issuance of A Shares. Unless otherwise defined, capitalised terms used in this announcement shall have the same meanings as defined in the Circular.

On 17 March 2020, the Company received the "Notice Regarding China Securities Regulatory Commission's First Feedback on the Review of Administrative Permission Items" (《中國 證監會行政許可項目審查一次反饋意見通知書》(acceptance No.: 193136) (the "Notice") issued by the CSRC in relation to the Proposed Non-public Issuance of A Shares. Pursuant to the Notice, the CSRC has reviewed the application materials for administrative permission submitted by the Company. The Company has to make written illustrations and explanations on relevant issues, and submit written responses and comments to the relevant administrative permission department of the CSRC within 30 days.

In accordance with the requirements of the Notice, the Company and the relevant intermediaries will prepare relevant materials in a timely manner and submit them to the relevant administrative permission department of the CSRC within the prescribed period.

The Proposed Non-public Issuance of A Shares is subject to the approval by the CSRC and it is uncertain whether the Proposed Non-public Issuance of A Shares will be approved. The Company will disclose the relevant information based on the progress of the Proposed Non- public Issuance of A Shares in a timely manner. Investors are advised to pay attention to the investment risks thereof.
