DOCDATA N.V. announces exclusive discussions on the sale of IAI industrial systems B.V. and its subsidiaries ('IAI Group')


In the Interim Notice for the third quarter 2015, published on 13 October 2015, the Management Board of DOCDATA N.V. (Waalwijk, The Netherlands) announced that it was in the process of restructuring its technology business headed by IAI industrial systems B.V. (Veldhoven, The Netherlands), a 100% subsidiary of DOCDATA N.V. This process is now finalised and this business is showing a positive development with regard to the order book and substantially lower cost levels.


DOCDATA N.V. also announced in the same Interim Notice that it would explore all strategic options for the technology business of IAI Group, containing also its German subsidiaries IAI industrial systems GmbH and FEHA LaserTec GmbH. In this regard the Management Board of DOCDATA N.V. has entered into exclusive discussions, subject to customary terms, with a party that has expressed and confirmed interest to acquire this whole business on the basis of a total enterprise value in the amount of EUR 22 million (cash and debt free), reflecting the abovementioned positive development and honouring the promising order pipeline of IAI and FEHA for the coming years.


The ongoing discussions between DOCDATA N.V. and this party may or may not result in a transaction. The cash proceeds from a potential transaction will depend on the outcome of negotiations, including those in respect of working capital and settlement of intra-­group financing arrangements, and will to a large extent be made available for distribution in cash to the shareholders as will be proposed to the Annual General Meeting of Shareholders to be held in May 2016. DOCDATA N.V. will communicate material developments in respect of the potential transaction in accordance with legal requirements and market practice. A potential sale of the shares in IAI industrial systems B.V. or its business will be subject to consultations with employee representatives, organised through the Workers' Council of IAI industrial systems B.V.


Shareholders of DOCDATA N.V. have been invited to vote on, amongst others, approval of a sale of the shares in IAI industrial systems B.V. or its business at the Extraordinary General Meeting of Shareholders to be held on 16 December 2015 (the 'EGM'). A shareholders' circular in respect of the EGM will be published on DOCDATA N.V.'s corporate website (www.docdatanv.com) and on the websites www.securitiesinfo.com and www.abnamro.com/evoting on Wednesday 2 December 2015. The registration and voting procedures for the EGM are disclosed in the DOCDATA N.V. press release of 4 November 2015, the publication date of the agenda for the EGM. Registration for the EGM is possible till Thursday 10 December 2015, 17.00 hours (CET).
