EASE2PAY N.V. DOCDATA N.V. (Waalwijk, The Netherlands) announces that the transaction with ASSA ABLOY, which was approved by the Extraordinary General Meeting of Shareholders of DOCDATA N.V. Wednesday 16 December 2015, on the sale and purchase of all shares in the issued share capital of the company IAI industrial systems B.V. has been completed this afternoon. After the fulfilment of all agreed conditions, the shares of IAI industrial systems B.V. have been delivered by DOCDATA N.V. to ASSA ABLOY Nederland Holding B.V. upon payment of the purchase proceeds.
By completing this transaction, the additional interim distribution of EUR 2.50 payable in January 2016, which was also approved by the Extraordinary General Meeting of Shareholders of DOCDATA N.V. Wednesday 16 December 2015, has become unconditional. This interim distribution will fully consist of a dividend distribution against the freely distributable reserves in retained earnings from reserved prior years' profits. The time schedule for this dividend will be as follows:
Cum date Monday 4 January 2016
Ex-date Tuesday 5 January 2016
Record date Wednesday 6 January 2016
Payment date Monday 11 January 2016
This additional interim distribution of EUR 2.50 in cash per outstanding share will be paid on 11 January 2016 after deduction of withholding taxes, if any. As from 5 January 2016, the DOCDATA N.V. shares will be listed ex-dividend.
