ELICA S.p.A. PRESS RELEASE PURSUANT ART. 122 OF THE LEGISLATIVE DECREE NO. 58 DATED 24.02.1998 ("TUF") AND ART. 129 AND SUBSEQUENT OF CONSOB REGULATION NO. 11971/1999 ("ISSUERS REGULATION") AS SUBSEQUENTLY AMENDED AND SUPPLEMENTED Fabriano, December 19, 2016 - With reference to the agreement (the "Agreement") entered into on December 18, 2013 by FAN S.r.l. ("FAN"), a company incorporated under laws of Italy, with register office in Rome, Via Parigi No. 11 registered at the Chamber of Commerce of Rome with No. 10379911000 and Whirlpool Europe S.r.l., limited liability company incorporated under laws of Italy, with registered office in Comerio, Viale Guido Borghi No. 27, registered at the Chamber of Commerce of Ancona with No. 01534610124 ("Whirlpool" and, together with Fan, the "Parties"), regarding a total of No. 39,772,725 ordinary shares of Elica S.p.A. ("Elica" or the "Company") equal to 62.809% of Elica' share capital, as well as certain governance rules of the Company and the transfer of the shares held by the Parties, it is hereby announced that the Parties have jointly determined that the Agreement has been automatically renewed for an additional period of two years and, therefore, until December 18, 2018.

The Agreement may be attributed to the agreements provided by art. 122 TUF and, in particular, to the agreements indicated in art. 122, first paragraph and fifth paragraph letter b) and c) of the TUF.

The news of the renewal of the Agreement has been notified with Consob according to the conditions set forth by the applicable laws and has been filed with the Chamber of Commerce of Ancona, together with the relevant Essential Information.
