Annual General Meeting of Elma Electronic AG on April 27, 2017

Shareholders of Elma approve all proposals by the Board of Directors

Wetzikon/Switzerland, April 27, 2017 - At today's Annual General Meeting in Wetzikon, the shareholders of Elma Electronic AG approved all agenda items and proposals put forward by the Board of Directors. The meeting was attended by shareholders and shareholder representatives accounting for 142'058 shares or 62.17% of the registered share capital of Elma.

The Annual General Meeting approved the Annual Report as well as the annual financial statements and the consolidated financial statements for the financial year 2016. In addition, the Annual General Meeting approved the appropriation of the accumulated loss for 2016. It decided to forego the payment of a dividend. The members of the Board of Directors and the Executive Board were granted discharge.

The proposal for overall compensation of the Board of Directors for the period between the 2017 and 2018 Annual General Meetings was approved, as was the overall compensation of the Executive Board for the financial year 2018. The shareholders approved a retroactive increase of the maximum total amount for the compensation of the Board of Directors from the 2016 Annual General Meeting to the 2017 Annual General Meeting.

All members of the Board of Directors, Martin Wipfli, Walter Häusermann, David Schnell, Rudolf W. Weber and Peter Hotz were re-elected, each for a term of office of one year extending until completion of the next ordinary Annual General Meeting, as was the Chairman of the Board of Directors, Martin Wipfli. The members of the Compensation Committee, Rudolf W. Weber and Martin Wipfli, were re-elected. The law firm Froriep was re-elected as independent proxy for a one year term of office extending until completion of the next ordinary Annual General Meeting and PricewaterhouseCoopers AG was confirmed as the external auditor for the financial year 2017 until completion of the next ordinary Annual General Meeting.
