today announced that after careful consideration, Aperture's board of
directors has agreed in principle to Emerson's offer to acquire 100% of
Aperture's share capital. The acquisition will become final once all Aperture
shareholders have agreed to its terms.
The financial terms of the agreement will not be disclosed.

The addition of Aperture to Emerson Network Power's portfolio will
complement and enhance Emerson's Liebert product line. As the physical
infrastructure of data centers become rapidly more complex, driven by
increasing demand for power and cooling coupled with technology advancements
in IT hardware, the combination of the Aperture VISTA(R) products and the
Liebert critical power, cooling and monitoring technologies supplied by
Emerson, will enable data center professionals to manage that complexity more
easily. By implementing tools and technologies that help them better
understand the dynamics of the data center infrastructure, data center
management will be better able to control these critical operations and thus
increase the availability of business-critical systems.
