Ottawa, Canada - June 26, 2015 - Enablence Technologies Inc. ('Enablence' or the 'Company') (TSXV: ENA), a leading supplier of optical components and subsystems for access, metro and long-haul markets, today announced a non-brokered private placement financing (the 'Financing') for up to $2.0 million at a price of $0.05 per unit ('Unit), subject to TSX Venture Exchange approval. Each Unit will be comprised of one common share and one half of one common share purchase warrant ('Warrants'). Each Warrant is exercisable for a period of 18 months at an exercise price of $0.06 per Warrant. This Financing replaces the second tranche of financing previously announced on March 26, 2015, which had been expected to close in May 2015.

The Financing is expected to close in two tranches, with the first tranche expected to close today in the amount of $350,000 and the second tranche expected to close by July 15, 2015. The proceeds from the Financing are to be used by the Company for general working capital purposes. Upon issuance all securities will be subject to a four month hold period pursuant to applicable securities laws.

Certain insiders of the Company may participate in the Financing. Each insider is considered a related party within the meaning of Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions ('MI 61-101'). The independent directors of the Company have unanimously approved the Financing and have determined that an exemption is available from the formal valuation requirements and minority shareholder approval requirements under MI 61-101. The directors that may participate in the Financing, either directly or indirectly, abstained from voting on these matters. This information is being filed less than 21 days prior to the expected closing of the Related Party Transaction. The shorter period was necessary in order to permit the Company to close the Financing in a timely manner.
